# Terms & Conditions - **Last Updated**: 2026-05-22 - **URL**: https://wacht.dev/legal/terms --- These Terms & Conditions ("Terms") form a binding agreement between Intellinesia Labs (OPC) Private Limited ("Wacht," "we," "us," or "our") and the individual or entity accessing or using the Services ("Customer," "you," or "your"). By creating an account, accessing the Services, or clicking to accept these Terms, you agree to be bound by them. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization. ## 1. Definitions - **Services** means the Wacht platform, including our websites, dashboards, APIs, SDKs, authentication infrastructure, AI agent runtime, and related features. - **Customer Data** means the data that Customer or its End Users submit to the Services, including authentication records, user profiles, configurations, prompts, and AI outputs generated for Customer. - **End User** means an individual who accesses or uses Customer's application or product and whose authentication or activity is processed through the Services. - **Documentation** means the technical and user documentation we publish for the Services. ## 2. The Services Wacht provides authentication, identity, organization management, API authorization, and AI agent infrastructure for developers and businesses. We may update, enhance, or modify the Services from time to time. We will not materially reduce the core functionality of a paid plan during a paid term without notice. ## 3. Accounts and Eligibility You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of the information you provide, for maintaining the security of your account credentials and API keys, and for all activity that occurs under your account. ## 4. Customer Responsibilities You agree that you and your End Users will not: - Use the Services in violation of applicable law or third-party rights - Reverse engineer, decompile, or attempt to derive source code from the Services - Resell, sublicense, or operate the Services as a standalone authentication or AI service for parties unrelated to your application without our written consent - Probe, scan, or test the vulnerability of the Services, or interfere with their integrity or availability - Use the Services to send spam, phishing, malware, or other harmful content - Submit content that infringes intellectual property, violates privacy or publicity rights, or contains illegal material - Exceed published rate limits or attempt to circumvent technical restrictions You are responsible for your End Users' compliance with these Terms. You will provide your End Users with a privacy notice and obtain any consents required by law before submitting their data to the Services. ## 5. Customer Data As between the parties, Customer Data is owned by Customer. You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Data solely as needed to provide, secure, and improve the Services for you, to comply with law, and to enforce these Terms. We will process Customer Data in accordance with our [Privacy Policy](/privacy). We do not use Customer Data to train our machine-learning models, and we do not authorize third-party model providers we work with to train their models on Customer Data. We may use aggregated, de-identified data derived from operation of the Services to monitor performance and improve the Services. ## 6. AI Features The Services include features that use machine-learning models, including models hosted by third-party providers, to generate outputs based on the inputs you submit ("AI Output"). AI Output is probabilistic and may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing AI Output before relying on or distributing it and for ensuring that your use complies with applicable law. As between the parties and subject to the rights of underlying model providers, you own the AI Output generated for you, and we claim no rights in it beyond the license described in Section 5. You will not submit content to the AI features that you do not have the right to submit or that you would not want included in an AI Output. ## 7. Fees, Billing, and Taxes Paid plans are billed in advance on the cadence shown at checkout. Fees are non-refundable except as expressly provided in these Terms or our [Refund Policy](/refund). Subscriptions auto-renew at the then-current rate for the same term unless cancelled before the renewal date. Fees are exclusive of taxes; you are responsible for applicable sales, use, VAT, GST, withholding, or similar taxes other than taxes on our net income. If a charge fails, we may suspend the Services until payment is resolved. ## 8. Free Trials and Refunds We may offer free trials or free tiers from time to time. We may modify or discontinue free offerings at any time. New subscriptions are subject to the 14-day money-back guarantee described in the [Refund Policy](/refund). ## 9. Suspension and Termination You may cancel your subscription at any time through your account; cancellation takes effect at the end of the then-current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Services in a way that poses a security, legal, or operational risk. On termination, your right to use the Services ends, outstanding fees become immediately due, and we may delete Customer Data after a reasonable retrieval period. ## 10. Intellectual Property We and our licensors retain all right, title, and interest in and to the Services, including all software, documentation, branding, and underlying technology. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term for your internal business purposes and to operate applications built on the Services. ## 11. Feedback If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to operate and improve the Services without obligation to you. ## 12. Confidentiality Each party may have access to non-public information of the other ("Confidential Information"), including business plans, technical details, customer information, and pricing. The receiving party will use Confidential Information only to perform under these Terms and will protect it with at least the same care it uses for its own confidential information of similar sensitivity, and in any event no less than a reasonable standard of care. ## 13. Warranties and Disclaimer We will provide the Services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF AI OUTPUT. ## 14. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. ## 15. Indemnification You will defend, indemnify, and hold harmless Wacht and our affiliates, officers, employees, and agents from and against third-party claims, damages, liabilities, and costs (including reasonable legal fees) arising out of or relating to (a) your or your End Users' use of the Services in violation of these Terms or applicable law, (b) Customer Data, including claims that Customer Data infringes or violates third-party rights, or (c) your products and services built on or integrated with the Services. ## 16. Modifications We may update these Terms from time to time. If a change is material, we will provide reasonable advance notice through the Services or by email. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated Terms. ## 17. Force Majeure Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, government action, network or power outages, internet or third-party service disruptions, or pandemic. ## 18. Governing Law and Disputes These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be referred to and finally resolved by arbitration in Bangalore, Karnataka, India, under the rules of the Arbitration and Conciliation Act, 1996. The arbitration will be conducted in English by a sole arbitrator. The courts of Bangalore will have exclusive jurisdiction for any matters not subject to arbitration. ## 19. General These Terms (together with the Privacy Policy, Refund Policy, and any order forms or addenda) are the entire agreement between the parties regarding the Services and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets. ## 20.
